Terms & Conditions

Udyami Connect is a B2B (business-to-business) networking and connection platform. The Platform's sole function is to enable registered business Users to discover, connect, communicate, and explore potential commercial engagements with other registered business Users.

Udyami Connect does not itself sell, supply, manufacture, broker, or provide any goods or services listed, discussed, or transacted between Users. Udyami Connect is not, and shall not be deemed to be, a party to, guarantor of, or participant in any transaction, negotiation, contract, purchase order, sale, service arrangement, or agreement of any nature entered into between Users through or as a result of use of the Platform.

Udyami Connect reserves the right to modify, suspend, or withdraw any feature of the Platform at any time without prior notice.

All communications, negotiations, contracts, orders, payments, deliveries, quality, pricing, and other dealings between Users are entered into directly between such Users, entirely at their own discretion, responsibility, and risk. Udyami Connect is not involved in and has no visibility, control, or oversight over such dealings.

Udyami Connect does not verify, endorse, certify, guarantee, or vouch for the identity, authenticity, business registration, creditworthiness, solvency, reputation, or conduct of any User, or the quality, legality, safety, or fitness of any goods or services offered, described, or exchanged between Users.

Any profile information, business details, ratings, or claims displayed on the Platform are based solely on self-declared information submitted by the concerned User, and Udyami Connect makes no representation or warranty as to its accuracy or completeness.

Udyami Connect shall bear no responsibility or liability whatsoever for any dispute, breach of contract, non-performance, delay, defect, misrepresentation, fraud, non-payment, or any other loss or damage arising out of or in connection with any transaction or dealing between Users. Any such dispute shall be resolved exclusively between the concerned Users, without recourse to Udyami Connect.

The Platform is available only to duly constituted business entities (including sole proprietorships, partnerships, limited liability partnerships, and companies) acting through an authorised representative who is at least 18 years of age and legally competent to contract under the Indian Contract Act, 1872. By registering on the Platform, the User represents and warrants that: (a) it is a validly existing business entity, (b) the individual registering has full authority to bind such entity to these Terms, and (c) all information provided, including business registration, GST, or Udyam details, is true, accurate, and current.

Users agree to provide accurate and current business information at the time of registration, to promptly update the same, and to maintain the confidentiality of their account credentials. Users are solely responsible for all activity conducted under their account, including all connections made and communications sent. Udyami Connect reserves the right to suspend or terminate any account where information provided is found to be false, misleading, or incomplete, or where an account remains inactive for a prolonged period.

Users are solely and entirely responsible for independently verifying the credentials, registration, financial standing, and business legitimacy of any other User before entering into any commercial engagement. Users are strongly advised to (a) conduct their own due diligence and background checks, (b) execute independent written contracts governing the terms of any transaction, and (c) obtain appropriate legal, financial, or professional advice prior to concluding any transaction facilitated through connections made on the Platform. Udyami Connect shall not be responsible for any failure by a User to undertake such due diligence.

Udyami Connect may charge Users a subscription, listing, or connection fee for access to certain features of the Platform, which shall be communicated prior to levy. Such fees relate solely to access to the Platform and do not constitute consideration for, and are unrelated to, any transaction subsequently entered into between Users. Fees once paid are non-refundable unless otherwise required by applicable law.

All content on the Platform, including text, graphics, logos, and software, is the exclusive property of Udyami Connect or its licensors and is protected under applicable intellectual property laws, including the Copyright Act, 1957. Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for its intended networking purpose, and shall not copy, reproduce, or create derivative works from any Platform content without prior written consent. Each User retains ownership of the business information and content it uploads, and grants Udyami Connect a limited license to display the same on the Platform for the purpose of enabling connections.

• Using the Platform for any unlawful purpose or in contravention of any applicable law,
• Impersonating any person or entity, or misrepresenting business credentials, registration, or affiliation
• Posting false, misleading, defamatory, or fraudulent information or content,
• Soliciting other Users for purposes unrelated to genuine business engagement, including scams or fraudulent schemes,
• Attempting unauthorised access to the Platform or interfering with its functionality.

The Platform and all connections facilitated thereby are provided strictly on an "as is" and "as available" basis. Udyami Connect makes no warranty, express or implied, that the Platform will result in any successful, profitable, or satisfactory business engagement, or that any User met through the Platform will perform its obligations, and expressly disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement in relation to any User or any goods or services offered by a User.

To the fullest extent permitted by applicable law, Udyami Connect, its directors, officers, employees, and agents shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages, including loss of profit, revenue, business, or goodwill, arising out of or in connection with: (a) any transaction, dispute, or dealing between Users, (b) any conduct, act, or omission of a User, or (c) reliance placed by a User on any information, profile, or representation of another User displayed on the Platform. Udyami Connect's aggregate liability under these Terms, if any, shall in no event exceed the platform fees, if any, paid by the User to Udyami Connect in the three (3) months preceding the claim.

Each User agrees to indemnify, defend, and hold harmless Udyami Connect, its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with: (a) the User's use of the Platform, (b) any transaction or dispute between the User and any other User, (c) the User's breach of these Terms or applicable law, or (d) any inaccurate, false, or misleading information provided by the User.

Udyami Connect reserves the right to suspend or terminate a User's access to the Platform at any time, with or without cause or notice, including where the User breaches these Terms or where required by law. Termination shall not affect any rights or liabilities accrued prior to termination, and shall not render Udyami Connect liable for any consequence arising from ongoing or unconcluded dealings between Users.

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms (excluding disputes between Users inter se, which shall be resolved directly between them) shall first be sought to be resolved through good faith negotiations, failing which it shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator, with the seat and venue of arbitration at New Delhi, and the language of arbitration being English. Subject to the foregoing, the courts at New Delhi, India shall have exclusive jurisdiction in the matters relating to or arising out of any dispute which concerns Udyami Connect.

Udyami Connect may amend these Terms at any time by posting the revised version on the Platform with an updated effective date; continued use of the Platform constitutes acceptance of such revisions. If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary or severed, and the remaining provisions shall continue in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between the User and Udyami Connect with respect to use of the Platform, and supersede all prior communications and proposals, whether oral or written.
